Building Services Controls Ltd (BSC Ltd) has completed a management buyout, transferring ownership from its founding directors to members of its senior leadership team as part of a long-term succession plan.

The deal sees directors Tim Jones and Bob Evans hand over the business to Andy Gill and Chris Jones, enabling the outgoing owners to retire while ensuring continuity for the company’s operations across Wales and the wider UK.

Legal advisers JCP Solicitors acted for the selling shareholders, with Betsan Powell, Director and Joint Head of Corporate and Commercial, leading the transaction.

Founded in 1996, BSC Ltd provides building energy management and control systems to commercial and residential clients.

Over nearly three decades, the business has established a client base spanning designers, contractors and end-users, supported by a reputation for technical expertise and service delivery.

The incoming owners bring long-standing experience within the company.

Andy Gill has been with the business since 2012, while Chris Jones joined as an apprentice in 1999 and has progressed through the organisation.

Both combine operational leadership with engineering expertise, positioning them to lead the company into its next phase.

As part of the transition, Joanne Jones, Director of Business Support and Development, will remain in place to support the new leadership team and ensure a smooth handover.

Tim Jones said: “We are delighted to have completed the management buy-out, seeing the next generation step into leadership.

“We have futureproofed the business to ensure BSC Ltd will continue to serve clients across Wales and the UK for years to come.

“The new team will bring fresh energy to the business, and we are grateful to JCP Solicitors for providing specialist advice and guidance at every stage of the transaction.”

Betsan Powell added: “Working closely with Tim, Bob and the buyers, we were able to secure a successful deal for all parties.

“We were proud to advise the senior team on selling the business during their 30th anniversary year, and look forward to seeing how the incoming Directors shape the company in its new era.”
