Cardiff-based law firm Hugh James has advised the sellers of Victorian House Window Group on its £60 million sale to Inwido AB, one of Europe’s largest window manufacturers and a Nasdaq Stockholm-listed company.
The deal is among the biggest M&A transactions in Wales this year and represents a significant international investment in the Welsh manufacturing sector.
Inwido will acquire 100% of the company’s share capital from lead investor BGF, which has backed the business since 2021, along with its fellow shareholders.
The acquisition is expected to protect a large number of skilled jobs in West Wales.
Victorian House Window Group, headquartered in Ammanford, is Europe’s largest producer of PVC-U vertical sliding sash windows and is recognised for its Victorian Sliders and ECOSlide brands.
The company employs around 300 staff, generates annual revenues of roughly £33 million, and manufactures more than 1,750 windows a week.
It operates depots and sales locations across the UK and Ireland as well as a hardware manufacturing facility in Foshan, China.
Hugh James advised on the sale through a team based in Cardiff and London, led by partners Gerallt Jones and Andrew Hoad, with support from solicitors Daniel Burke and Catherine Adamec.
Andrew Hoad said: “This landmark deal in the manufacturing sector is a fantastic outcome for everyone involved.
“We are delighted to have been involved in a transaction which secures a bright future for hundreds of jobs in West Wales and underlines the strength and resilience of Welsh manufacturing.”
Nick Evans, Chief Executive Officer of Victorian House Window Group, said: “This transaction represents a hugely positive outcome for our colleagues and a real statement for Welsh manufacturing.
“Hugh James have been alongside us for a number of years and were the natural choice to support us on taking this significant step as we embark upon this next exciting chapter.”
